PVcase Customer Referral Program Terms & Conditions

These Terms and Conditions ("Terms") govern the PVcase Customer Referral Program ("Program"). By participating, the Referrer and the Referred Customer’s Lead agree to be bound by these Terms.

1. Definitions

PVcase or Company

PVcase UAB, company’s code 304839853, having its registered office in Bokšto st. 6, Vilnius, Republic of Lithuania, email address marketing@pvcase.com, or its legal successor. 

PVcase products

The PVcase services, software solutions and licenses (including PVcase Prospect, PVcase Ground, PVcase Roof Mount, PVcase Yield), further described here: https://pvcase.com/  as such website and software solutions and services descriptions may be updated by PVcase from time to time.

Referrer

A natural person who is a member of the Program with a place of residence located in a Territory where the Program is officially available.  PVcase and its subsidiaries' employees, agents, freelancers or representatives are expressly excluded from being a Referrer. 

Referred Customer

A legal entity, referred by the Referrer via the “Refer a friend” form to PVcase, and which is: i) not a current or previous customer of PVcase, its affiliates and subsidiaries, and which does not meet any criteria of the  Existing Potential Customer; or ii) which is a current customer of PVcase or it’s subsidiary, but is willing to purchase PVcase product that it has not purchased before,. The Referred Customer must agree to a Demo call and attend to it within ninety (90) days of the Referral submission date, and must operate in the Territory and in one of the following industries: Solar Development, EPC (Engineering, Procurement, and Construction), Renewable Development, Utility Company, or Engineering Consultancy, companies operating in Battery, Data Center industries. 

Referred Customer’s Lead

Individual employed in or engaged as a freelancer within the Referred Customer who agrees to and attends a Demo call with PVcase or its subsidiary. This person must hold a relevant decision-making or influential position (e.g., Engineering Lead, Project Manager, or relevant C-level) to qualify for the Program.

Referral 

“Refer a Friend” form, which is accessible at https://get.pvcase.com/referral and which is filled by the Referrer in accordance with on-screen instructions. Referral must include the correct details of the Referrer and the Referred Customer’s Lead (including the Referrer’s name and email address, the Referred Customer whom the Referrer refers, and the Referred Customer’s Lead’s name, job title in the Referred Customer and email address). 

Completed Referral

A Referral that meets all criteria in Section 4.1. (Completed Referral Requirements), specifically requiring that the Service Agreement is signed within six (6) months of the Referral submission, and PVcase or it’s subsidiary has received the Initial Payment from the Referred Customer under the Service Agreement.

Demo call

A Demo call is a sales interaction where a PVcase or it’s subsidiary presents the features, capabilities, and value of PVcase products to a Referred Customer.

Initial Payment

A payment made by the Referred Customer in an amount equal to the full sum specified in the first invoice issued by PVcase or it’s subsidiary under the Service Agreement.

Existing Potential Customer

An entity that has provided its contact details to the PVcase or it’s subsidiary and within past 6 (six) months has either:

  • (i) engaged with the PVcase or it’s subsidiary’s sales or marketing materials (e.g., requested a demo or subscribed to a newsletter);

  • (ii) been identified by PVcase or it’s subsidiary as a qualified lead through a sales process; or

  • (iii) has previously expressed an interest in the PVcase products.

Reward

A virtual gift card (such as Amazon or Visa) or a donation to a pre-approved charity, managed by Reachdesk, with a value of 150 EUR (or local currency equivalent) for the Referrer, and 75 EUR (or local currency equivalent) for the Referred Customer’s Lead.

Promotional Gift

A low-value, PVcase-branded merchandise item (e.g., branded socks) provided to the Referrer and the Referred Customer’s Lead for participation.


Sanctioned Person

Any person listed in any following sanctions lists: (A) the United States (including without limitation the Department of Treasury, Office of Foreign Assets Control (OFAC)), (B) the European Union and its member states, (C) the United Kingdom (including, without limitation, the Office of Financial Sanctions Implementation), (D) the United Nations or (E) other similar governmental bodies. 

Service Agreement

A formal, signed, and legally binding contract under which PVcase or its subsidiary grants a Referred Customer a license or access to use PVcase products in the specific form and under the terms and conditions proposed by PVcase or it’s subsidiary. The Service Agreement must be signed between PVcase or it’s subsidiary and the Referred Customer, which is:

  • i) not a current or previous customer of PVcase or it’s subsidiaries, and which does not meet any criteria of the Existing Potential Customer; or

  • ii) is the current customer of PVcase or it’s subsidiary, but the Referred Customer purchases PVcase product that it has not purchased before.

Territory

The following geographic regions: The European Union (EU), the United Kingdom (UK), and the United States of America (US).

Reachdesk

Reachdesk Ltd., having its address at 86-90 Paul Street, London, England, EC2A 4NE.

2. Participation and Eligibility

2.1. Referrer Eligibility

To participate, the Referrer must reside or operate within the Territory. There is no limit to the number of Referrals an individual Referrer can submit. Referrer must be an individual with a valid tax ID number and cannot be: (i) government official, employee of a government owned or controlled entity, (ii) member of or candidate to a political party, (iii) representative, management body member, agent, freelancer or employee of PVcase or its affiliates and subsidiaries (iv) representative, agent, employee or the service provider of the Referred Customer or (v) the Referred Customer’s Lead themselves, (vi) Sanctioned Person.

2.2. Referred Customer’s Lead Eligibility

A Referred Customer’s Lead is eligible only if they are: (i)  an individual employed in or engaged as a freelancer within within the Referred Customer; (ii) reside within the Territory; (iii) Agree to and attend a Demo call within ninety (90) days of the Referral submission. 

Referred Customer’s Lead must be an individual with a valid tax ID number and cannot be: (i) government official, employee of a government owned or controlled entity, (ii) member of or candidate to a political party, (iii) representative, management body member, agent, freelancer or employee of PVcase or its affiliates and subsidiaries (iv) representative, agent, employee or the service provider of the Referred Customer or (v) Sanctioned Person.

2.3. Anti-Bribery and Anti-Corruption Prevention

The Program is strictly commercial and intended for legitimate business promotion. Participants are prohibited from using the Program to offer, promise, or provide any improper payment, gift, or benefit to any individual or entity in an attempt to secure an improper advantage, or otherwise violate anti-bribery or anti-corruption laws. 

By submitting a Referral, the Referrer warrants and represents that his/her and the Referred Customer Lead's participation in the Program does not and will not: a) Violate any applicable anti-bribery or anti-corruption laws or regulations. b) Contravene their own employer’s code of conduct, conflict of interest policies, or other internal policies. c) Create an actual or potential conflict of interest with their duties to their employer or any other party.

3. Referral Process and Rules

3.1. Submission

In order to submit a Referral, the Referrer must visit the Refer a Friend landing page accessible at https://get.pvcase.com/referral and follow the on-screen instructions to refer Referred Customer and Referred Customer Leads to PVcase by entering required details in the “Refer a Friend” form. The Referrer can refer multiple individuals, as long as the Referred Customer Leads meet the requirements of these Terms & Conditions. 

3.2. First in Time, First in Right

In the event that multiple Referrers submit the same Referred Customer’s Lead and/or Referred Customer, only the Referrer who submitted the Referral first will be eligible for the Reward if the Referral meets all the criteria of a Completed Referral.

4. Reward and Promotional Gift Allocation and Fulfillment

4.1. Completed Referral Requirements

Referrer and the Referred Customer’s Lead obtain the right to get a Reward only when a Referral meets all the criteria of a Completed Referral (i.e., the Service Agreement is signed and PVcase or it’s subsidiary that entered into the Service Agreement has received the Initial Payment from the Referred Customer, all within six (6) months of the Referral submission).

4.2. Reward Delivery

PVcase will initiate the fulfillment process for the Reward(s) via Reachdesk within thirty (30) days following the date the Referral is considered by PVcase as a Completed Referral. 

4.3. Reward Choice

The Referrer and the Referred Customer’s Lead will receive a unique email to the email addresses provided in the Referral with a link from Reachdesk to select their preferred Reward (gift card or charity donation) in the value of 150 EUR and 75 EUR (or equivalent monetary value based on currency), respectively. The link from Reachdesk is valid for 30 days. If the Referrer or the Referred Customer’s Lead will not register within Reachdesk through the provided link within the specified term, it will automatically result in the forfeiture of their right to the Reward, and the Referrer and the Referred Customer’s Lead shall hold no further claim regarding the obtaining of the Reward.

4.4. Reward and Third-Party Services

Rewards are provided and managed by Reachdesk. The issuance and use of a Reward, including its validity term, are subject to the terms and conditions of Reachdesk which are accessible here: https://www.reachdesk.com/terms-and-conditions. The Referrer and the Referred Customer’s Lead acknowledge and accept these terms and conditions of Reachdesk and that the Reward is provided by a third party, Reachdesk, and that the Company bears no responsibility for the Reward itself, its functionality, or any issues arising from its use.

4.5. Promotional Gift Trigger

The Referrer and the Referred Customer’s Lead will receive the Promotional Gift after the Referred Customer has successfully scheduled and attended the Demo call within ninety (90) days of the Referral submission. The Promotional Gift has no substantial monetary value and is classified purely as a promotional item.

The Referrer and the Referred Customer’s Lead will receive a unique email to the email addresses provided in the Referral with a link from Reachdesk for the Promotional Gift. The link from Reachdesk is valid for 30 days. If the Referrer or the Referred Customer’s Lead will not register within Reachdesk through the provided link within the specified term, it will automatically result in the forfeiture of their right to the Reward, and the Referrer and the Referred Customer’s Lead shall hold no further claim regarding the obtaining of the Promotional Gift.

5. Tax, Reporting, and Legal Compliance

5.1. Tax Responsibility

The Referrer is solely responsible for all applicable taxes (including income, sales, withholding or any other applicable tax), charges, or levies that may be due in connection with the receipt of the Reward and/or Promotional Gift in their country of residence. PVcase shall not be responsible for any tax withholding or reporting obligations related to the Rewards or Promotional Gifts provided. PVcase does not provide any tax advices.

5.2. Tax Reporting

PVcase reserves the right to withhold taxes and/or report the value of any Reward to the relevant tax authorities in compliance with applicable law (e.g., IRS Forms 1099 in the United States, or local tax reporting equivalents). By participating, the Referrer agrees to provide PVcase or Reachdesk with any necessary information, including tax identification details, required for tax reporting or compliance.

5.3. No Partnership/Agency

Nothing in these Terms shall be construed to create a partnership, joint venture, employment, or agency relationship between Referrer, Referred Customer’s Lead and PVcase. Program details, including any specific pricing, discount rates, or non-public terms and conditions, are strictly confidential and must not be shared or disclosed to any third parties by the Referrer or the Referred Customer. The obligation of confidentiality shall remain in full force and effect during the term of the Program and shall survive its termination or expiration for an indefinite period thereafter.

6. General Terms

6.1. Modification and Termination

The Program and these Terms shall remain valid and in effect until such time as PVcase, in its sole discretion, elects to terminate or cancel it, provided that any provisions of these Terms which are intended to survive the Program's expiration or termination shall remain in full force and effect. The Referrals can be submitted via “Refer a Friend” form not later than until the Program is cancelled by PVcase. In the event of a Program and/or these Terms cancellation, PVcase will only have an obligation to process a Reward that was earned for a Completed Referral that was completed prior Program cancellation date. 

PVcase reserves the right at any time and in its sole discretion: (i) to modify, amend or update the Terms of, including but not limited to, the Program, Rewards by posting a new, revised version of these Terms on the same website in which these Terms are announced, or (ii) to terminate Referrer’s and/or Referred Customer’s Lead’s participation in the Program in its entirety. PVcase reserves the right to disqualify Referrer or the Referred Customer’s Lead at any time from participation in the Program if they do not comply with any of these Terms and Conditions.

The Referrer and the Referred Customer’s Lead can at any time terminate their participation in the Program by notifying PVcase about such termination by sending an email to marketing@pvcase.com. Any termination of participation in the Program by a Referrer and/or the Referred Customer’s Lead automatically voids the rights of the Referrer and/or the Referred Lead (who terminated participation in the Program) to any Reward or Promotional Gift not yet received.

6.2. Limitation of Liability

PVcase shall not be liable for any indirect, incidental, special, or consequential damages resulting from Referrer’s or Referred Customer’s Lead’s participation in the Program. PVcase’s maximum liability related to the Program shall not exceed the value of the Reward in dispute.

6.3. Force Majeure

The Company shall not be liable for failure to implement its obligations under there Terms or any part thereof, by reason of any acts of God, any action(s), regulation(s), order(s) or request(s) by any governmental or quasi-governmental entity (whether or not the action(s), regulations(s), order(s) or request(s) prove(s) to be invalid), equipment failure, threatened terrorist acts, terrorist acts, air raid, blackout, act of public enemy, earthquake, tornado, tsunami, war (declared or undeclared), fire, flood, epidemic, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, or any other similar or dissimilar cause beyond the Company’s control.

6.4. Intellectual Property Rights

PVcase shall own all rights, title and interest to trade names, trademarks, service marks, logos and domain names it secures from time to time (“Intellectual Property Rights”). Nothing in these Terms grants the Referrer of the Referred Customer’s Lead a right to use PVcase Intellectual Property Rights, except a right to use the name of PVcase in order to submit the Referral and inform the Referred Customer’s Lead about the Referral and PVcase.

6.5. Disclaimer of Warranties

Referrer and Referred Customer’s Lead expressly understand and agree that: (i) they participate in the Program at their own risk; (ii) the Program is provided on an “as-is” and “as-available” basis and the Company expressly disclaims all warranties, conditions and terms of any kind, whether express, implied, or statutory, regarding the Program or any services provided in connection with it; (iii) the Program may not meet their requirements; (iv) the Program may not be uninterrupted, timely, secure or error-free; (v) the quality of Rewards or Promotional Gifts may not meet their expectations.

6.6. Representations and Warranties

Referrer and the Referred Customer’s Lead warrants that (i) they will use all information provided by PVcase (including without limitation the PVcase Intellectual Property Rights) in a manner that complies with applicable law; (ii) they are solely responsible for periodically reviewing these Terms to stay informed of any updates or changes; (iii) their continued participation in the Program after any amendments to these Terms have been published shall be deemed to constitute the their full and unconditional acceptance of such amendments.

6.7. Entire agreement

These Terms constitute the entire Agreement between the Company and the Referrer, and between the Company and the Referred Customer’s Lead concerning participation in the Program. The failure of the Company to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is found by a court of competent jurisdiction to be invalid, it is agreed that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of these Terms remain in full force and effect. The section titles in these Terms are for convenience only and have no legal or contractual effect. A person who is not a party to these Terms shall have no right to enforce or receive the benefit of any of these Terms.

6.8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Lithuania. Any dispute arising out of or relating to these Terms will be subject to the exclusive jurisdiction of the courts located in Vilnius, the Republic of Lithuania.

6.9. Privacy

To participate in the Program, the Referrer must submit personal information about themselves and the Referred Customer’s Lead, such as: 

  • Your first name, Your last name, Your Email Address, Referred contact's first name, Referred contact's last name, Referred contact's email, Country where the referred contact is based, Referred contact's company, Referred contact's job title (hereinafter - Personal Data).


via the “Refer a Friend” form. By providing this Personal data, the Referrer confirms that they have obtained the explicit consent of the Referred Customer’s Lead to share their Personal Data with PVcase.

The Personal Data provided will be collected, processed, and used by PVcase to contact both the Referrer and the Referred Customer’s Lead regarding their participation in the Program. The Referrer understands that PVcase will contact the Referred Customer’s Lead on their behalf and may send additional follow-up communications to encourage them to schedule and attend a Qualified Discovery Call/Demo. PVcase will send the required legal documentation to the Referrer or Referred Customer Lead.

The Personal Data in question shall be stored for the duration of the Program. Part of this data may be later processed during and for the purposes of the account opening procedure or other necessary purposes.

All personal data collected during the Program will be processed in accordance with the PVcase Privacy Policy, available at https://pvcase.com/privacy-policy or Privacy Notice provided directly to you.
